These Terms of Service ("Terms") govern your access to and use of urBuddy, a product of OSCode, operated by HACKCOMM TECHNOLOGY PRIVATE LIMITED ("Company", "we", "us", or "our"), a company incorporated under the laws of India. By accessing or using the urBuddy platform (the "Platform"), you agree to be bound by these Terms.

Acceptance of Terms

By registering an account, accessing, or using any part of the Platform, you confirm that:

  • You have read, understood, and agree to be bound by these Terms and our Privacy Policy.
  • You are at least 18 years of age, or accessing the Platform under the supervision of a parent or legal guardian who accepts these Terms on your behalf.
  • You have the legal capacity to enter into a binding contract.

Continued use of the Platform following any amendments to these Terms constitutes acceptance of the revised Terms. We will notify you of material changes via email or in-app notification.

Platform Overview

urBuddy is an online platform that connects mentees ("Users") with mentors ("Mentors") for one-on-one sessions, guidance, and knowledge-sharing across various domains. The Platform may use AI-powered features including mentor matching, recommendations, and session assistance. The Company acts solely as an intermediary facilitating these connections and is not a party to any agreement between Users and Mentors.

The Company:

  • Does not verify or endorse the credentials, qualifications, or expertise of any Mentor.
  • Does not guarantee the accuracy or quality of any advice, guidance, or content shared during sessions.
  • Is not an employer, staffing agency, or educational institution.

User Accounts

Registration

To access certain features, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain and promptly update your account information.
  • Keep your credentials confidential and not share them with third parties.
  • Notify us immediately at support@urbuddy.in if you suspect unauthorized access to your account.

Account Responsibility

You are solely responsible for all activity that occurs under your account. The Company is not liable for any loss arising from unauthorized use of your account due to your failure to safeguard your credentials.

Inactive Accounts

Accounts with no activity for 12 or more consecutive months may be suspended or deleted without prior notice, at the Company's sole discretion.

User Eligibility

  • Minimum Age: You must be at least 18 years old to create an account or purchase services on the Platform.
  • Minors:Users under 18 may only access the Platform under direct parental or guardian supervision. The parent or guardian assumes full responsibility and liability for the minor's use.
  • Geographic Restrictions: The Platform is primarily intended for users in India. Access from other jurisdictions is at the user's own risk and subject to applicable local laws.

Mentor and Mentee Conduct

Mentors

By listing yourself as a Mentor on the Platform, you agree to:

  • Provide sessions as described in your profile and as booked by Users.
  • Maintain professional, respectful, and lawful conduct during all sessions.
  • Not misrepresent your qualifications, credentials, or areas of expertise.
  • Honour confirmed bookings or provide timely cancellation with adequate notice.
  • Not solicit Users to transact outside the Platform to circumvent fees.

Mentees (Users)

By booking a session, you agree to:

  • Attend scheduled sessions punctually or cancel in accordance with the cancellation policy.
  • Engage respectfully and professionally with Mentors.
  • Not record sessions without the explicit prior consent of the Mentor.
  • Not share, reproduce, or distribute session content without authorization.

Prohibited Conduct

You agree not to use the Platform to:

  • Violate any applicable law, regulation, or court order.
  • Post, upload, or transmit content that is defamatory, obscene, harassing, abusive, discriminatory, or hateful.
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity.
  • Engage in fraud, deception, or misrepresentation of any kind.
  • Infringe upon the intellectual property rights of the Company or any third party.
  • Transmit malware, viruses, or any other harmful code.
  • Scrape, crawl, or systematically extract data from the Platform without written permission.
  • Engage in any form of unfair competition, including soliciting Mentors or Users away from the Platform.
  • Facilitate or promote illegal gambling, terrorism, organized crime, or any unlawful activity.

Violation of any of the above may result in immediate account suspension or termination, at the Company's sole discretion.

Intellectual Property

Company IP

All content, features, trademarks, service marks, logos, software, code, design, and materials on the Platform ("Company IP") are the exclusive property of HACKCOMM TECHNOLOGY PRIVATE LIMITED or its licensors. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for its intended purpose.

You may not:

  • Copy, modify, distribute, sell, or lease any part of the Company IP.
  • Reverse-engineer or attempt to extract the source code of any software.
  • Create derivative works based on any Company IP.

User Content

You retain ownership of any content you submit, post, or display on the Platform ("User Content"). By submitting User Content, you grant the Company a non-exclusive, worldwide, royalty-free, sublicensable, perpetual license to use, store, reproduce, modify, display, and distribute such content solely for the purpose of operating and improving the Platform. This license terminates when you delete your content, except where the Company is required to retain it for legal or backup purposes.

You represent and warrant that your User Content:

  • Is original or you have all necessary rights to share it.
  • Does not violate any applicable law or the rights of any third party.
  • Is accurate and not misleading.

Payments and Fees

Session Fees

Mentors set their own session fees. All transactions are processed in Indian Rupees (INR) through licensed payment gateways (including Razorpay) integrated with the Platform.

Platform Fees

The Company charges a platform fee or commission on each transaction, as disclosed on the Platform at the time of booking or during Mentor onboarding. These fees are subject to change with reasonable notice.

Taxes

Applicable taxes, including Goods and Services Tax (GST), will be collected in accordance with Indian tax laws. Users and Mentors are responsible for their own tax obligations arising from transactions on the Platform.

Chargebacks

Initiating a fraudulent or unjustified chargeback with your payment provider constitutes a material breach of these Terms and may result in immediate account termination and legal action.

Cancellations and Refunds

Automatic Refunds

You are automatically entitled to a full refund in the following circumstances:

  • The Mentor cancels a confirmed session.
  • The Mentor fails to appear for a scheduled session.
  • A session cannot be delivered due to a platform-side technical failure.

Refunds Requiring Approval

Cancellations made within 24 hours of the scheduled session time are subject to Mentor approval. The Company may facilitate but does not guarantee such refunds.

Non-Refundable Items

The following are not eligible for refunds:

  • Digital products, recorded content, or any downloadable materials.
  • Multi-session packages, except where the Mentor approves or the Company determines a refund is warranted.
  • Bookings where the session was completed and delivered as described.

Processing Time

Approved refunds will be processed within 5-7 business days to the original payment method.

Disclaimers and Warranties

The Platform is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

The Company makes no representation or warranty that:

  • The Platform will be uninterrupted, error-free, or secure.
  • Content or advice provided by Mentors is accurate, complete, or suitable for your needs.
  • Any defects or errors will be corrected.
  • All sessions and interactions with Mentors are undertaken at your sole risk.

Limitation of Liability

To the maximum extent permitted by applicable law:

  • The Company's total aggregate liability to you for any claim arising out of or relating to these Terms or the Platform shall not exceed the greater of: (a) the total fees you paid to the Company in the 12 months preceding the claim, or (b) Rs. 1,000 (Indian Rupees One Thousand).
  • The Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business opportunities, even if advised of the possibility of such damages.

Indemnification

You agree to indemnify, defend, and hold harmless the Company, its directors, officers, employees, agents, and successors from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from:

  • Your access to or use of the Platform.
  • Your User Content or any session content you produce or distribute.
  • Your violation of these Terms or any applicable law.
  • Any claim that your content infringes the intellectual property or other rights of a third party.
  • Any dispute between you and another User or Mentor.

Account Termination and Suspension

The Company reserves the right to suspend or permanently terminate your account, without prior notice, for:

  • Material breach of these Terms.
  • Violation of applicable law or a valid court or government order.
  • Fraudulent, abusive, or harmful conduct.
  • Actions that create legal, reputational, or security risk for the Company or other users.

Upon termination, your right to access the Platform ceases immediately. The Company may retain your data as required by law or its data retention policies.

You may terminate your account at any time by contacting us at support@urbuddy.in. Termination does not entitle you to a refund of any fees already paid.

Privacy

Your use of the Platform is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection, use, and processing of your personal data as described in the Privacy Policy, in compliance with the Digital Personal Data Protection Act, 2023, the Digital Personal Data Protection Rules, 2025, and other applicable Indian laws. Grievance Redressal

In accordance with the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, the Company has designated a Grievance Officer:

Resolution Timelines

  • Acknowledgment within 24 hours of receipt.
  • Resolution within 15 calendar days.
  • Escalated review within 30 days for complex matters.
  • Content removal within 36 hours of a valid court order.

The Platform operates in compliance with applicable Indian laws, including:

  • Indian Contract Act, 1872
  • Information Technology Act, 2000
  • Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021
  • Digital Personal Data Protection Act, 2023
  • Consumer Protection Act, 2019
  • Goods and Services Tax laws

Governing Law and Dispute Resolution

These Terms are governed by the substantive laws of India, without regard to conflict of law principles.

Dispute Resolution - Three-Tier Process

  1. Negotiation: Parties shall attempt to resolve disputes amicably within 30 days of written notice.
  2. Mediation: If negotiation fails, parties may submit the dispute to a mutually agreed mediator.
  3. Litigation: Unresolved disputes shall be subject to the exclusive jurisdiction of courts in Bangalore, Karnataka, India.

General Provisions

  • Force Majeure: The Company is not liable for failure or delay caused by circumstances beyond its reasonable control, including natural disasters, internet outages, government actions, or pandemics.
  • Severability: If any provision of these Terms is found invalid or unenforceable, the remaining provisions continue in full force.
  • No Waiver: Failure to enforce any provision does not constitute a waiver of that right.
  • Assignment: You may not assign your rights or obligations under these Terms without prior written consent from the Company. The Company may assign its rights freely, including in connection with a merger, acquisition, or sale of assets.
  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and the Company regarding the Platform.
  • Independent Parties: Nothing in these Terms creates a partnership, employment, agency, franchise, or joint venture relationship between you and the Company.
